Gerald W. S. Carter, a partner in Harrell & Chambliss, is a graduate of the College of William & Mary (B.B.A.) and New York University School of Law (J.D.). Mr. Carter received his Masters of Law (LL.M.) Degree in Taxation from New York University School of Law and focuses his practice on business/tax, estate planning, tax issues in municipal finance transactions, real estate and creditors' rights and bankruptcy. Mr. Carter provides counsel to the Firm's financial institution clients as it relates to banking regulations (Federal and state), commercial transactions, estate issues, creditors' rights and bankruptcy, foreclosure, collection and civil litigation as well as any other legal matter the Firm is requested to address for the client. Mr. Carter has been involved in a full array of matters pertaining to the Firm's business and tax clients. Some of the general business and tax planning assistance provided by Mr. Carter include advising clients of closely held businesses and publicly owned entities, nonprofit and tax exempt organizations, public housing authorities, school divisions, churches and individuals. Mr. Carter's practice also includes providing legal advice to the Firm's estate planning clients. Carter has over nineteen (19) years of experience in practicing as an attorney in the Commonwealth of Virginia.
Mr. Carter is a certified public accountant and worked as an accountant before entering law school. Mr. Carter served as an Adjunct Professor of Law at the University of Richmond Law School and is a member of the Virginia State Bar and the Old Dominion Bar Association. Mr. Carter served as a member of the Virginia Bar Association (Committee on Honoring Members and Judges). Mr. Carter presently serves as a board member on the Greater Richmond Bar Foundation. Mr. Carter was selected as one of the leading lawyers in Virginia as reflected in an article entitled "The Legal Elite," in the December 2000 issue of the Virginia Business Magazine.

Nancy Griffin Chambliss is Co-Managing Partner of Harrell & Chambliss, with primary practice areas in public/municipal finance and structured securities finance transactions, contracts and procurement law. Ms. Chambliss received a Bachelor of Science degree from Virginia Polytechnic Institute and State University and a Juris Doctor degree from the University of Virginia School of Law. She began her attorney career as an associate in the public finance section of Hunton & Williams. Ms. Chambliss has practiced for over 25 years in public and municipal finance law and has served as bond counsel in bond financings for general obligation public improvement projects, public utility projects of gas, water and wastewater utilities systems, airports, industrial development, hospital, housing, governmental/ 501(c)(3), and educational facilities projects. She has also represented underwriters, issuers, lenders and developers in tax-exempt and taxable bond financings and served as co-legal advisor in multiclass securities transactions. She has served as co-bond counsel, bond counsel, underwriters' counsel and issuer's counsel in transactions for the issuance of over $9 billion of tax-exempt and taxable bonds and as co-legal advisor in transactions for the issuance of over $14 billion of multiclass mortgage-backed securities.
Ms. Chambliss has served as program chairperson, moderator and panelist for various programs on municipal finance and creative financing. She served as a gubernatorial appointee to the Board of Directors of the Virginia Small Business Financing Authority and as a Director of the Metropolitan Business Foundation. Ms. Chambliss is a member of the Virginia State Bar, the American Bar Association and the National Association of Bond Lawyers and has served on various committees of bar associations.

Adam Nelson Harrell, Jr. is Co-Managing Partner of Harrell & Chambliss, with primary practice areas in business, banking, creditors' rights, foreclosure, and real estate. Mr. Harrell is a graduate of the University of Virginia (B.A.) (With Distinction) and the University of Pennsylvania School of Law (J.D.). He has worked closely with financial institution and real estate clients for over 25 years and was formerly associated with Hirshcher Fleischer in its corporate and municipal finance practice. Mr. Harrell is active in his church and several community organizations in Richmond. He is actively involved with the following professional associations: Member: Old Dominion Bar Association (Former Member, Executive Committee), Virginia State Bar (Former Member, Third District Committee), Virginia Bar Association (Member, Lawyers Helping Lawyers Committee). Caryl Stephens Johnson, an associate with Harrell & Chambliss, is a graduate of Tufts University (B.A), New School University (M.A.) and the University of Richmond School of Law (J.D.). Ms. Johnson is a member of the Virginia State Bar and the National Association of Bond Lawyers. Ms. Johnson's practice areas include public finance, corporate law and tax. Prior to joining H&C, Ms. Johnson was associated with Kaufman & Canoles, P.C. Her practice focused on tax exempt financing for educational institutions, not-for-profits, health care facilities, developers and manufacturers. Ms. Johnson has served as bank counsel, underwriters' counsel and bond counsel on complex financing structures including variable rate demand bonds, private placements, public offerings and bank-qualified bond transactions. In addition, Ms. Johnson has experience working for clients who have tax controversies with federal and state taxing authorities. Ms. Johnson's prior non-legal experience includes holding several positions with economic development related organizations including the Financial Services Corporation of New York City, DSL Capital Corporation (formerly the financial advisor to the Virginia Small Business Development Authority's pooled bond program), and the Commonwealth of Virginia's Department of Minority Business Enterprise. Ms. Johnson is a former budget analyst and regulatory policy analyst for the Commonwealth of Virginia Department of Planning and Budget.

Godfrey T. Pinn, Jr. is a partner with Harrell & Chambliss. Mr. Pinn received a Bachelor of Arts degree from Hampton University in Mass Media Arts and a Juris Doctor degree from the University of Virginia School of Law. Mr. Pinn began his career as a litigation associate with McGuire Woods. Mr. Pinn is a civil litigator with experience in several substantive areas of the law, including, general tort defense, commercial litigation, professional malpractice, regulatory compliance, eminent domain and both residential and commercial landlord-tenant. In addition to the Virginia State Bar, Mr. Pinn is an active member of the Richmond and Old Dominion Bar Associations and a volunteer with the Virginia Legal Aid Justice Center's Pro Bono Housing Clinic. Mr. Pinn is an active member of the community through his involvement in a number of social and civic organizations and non-profit boards.

Dennis M. Martin is a partner with Harrell & Chambliss, with areas of expertise in criminal law, family law, civil litigation and insurance defense. Mr. Martin is a graduate of Mars Hill College (B.A.) and Campbell University School of Law (J.D.). Mr. Martin is a member of the Virginia State Bar and the North Carolina State Bar and has significant experience in the courtroom. As a prosecutor, he tried over one hundred (100) jury trials and appeared in court over two thousand (2,000) times for bench trials, pre-trial and post-trial motions before courts in North Carolina and Virginia. Mr. Martin has worked as a prosecutor in both North Carolina and Virginia and handled cases at all levels of the criminal justice system, juvenile, misdemeanor, felony and appellate work. He has successfully prosecuted cases that carried the highest penalties for those convicted such as the death penalty and life imprisonment. He has represented victims of crime in white-collar cases involving contracts, checks, credit cards and large sums of money. He has successfully introduced into evidence complex exhibits of evidence involving issues such as DNA analysis, fingerprint analysis and ballistic tests. Currently, Mr. Martin has taken his experience in the criminal justice system and transferred those skills to the area of civil litigation. He currently handles cases involving debt collection, landlord tenant issues, construction and other contractual disputes.

Aubrey W. Fountain, III, is an associate with Harrell & Chambliss, is a graduate of the University of Virginia (B.S. in Architecture) and the University of North Carolina – Chapel Hill School of Law and Master's Degree in Regional Planning (Joint Degree J.D./M.R.P.) with primary practice areas in real estate law, affordable housing, land use, construction law, corporate entity formation and business law, church law, tax exempt entities, bonds, tax credits, equity syndication, secured transactions, finance, banking law, and other forms of complex deal structuring and negotiations involving real estate, finance and corporate matters including acquisition, disposition, and structuring investment vehicles to facilitate capital formation. Mr. Fountain also has experience in a wide variety of other practice areas ranging from simple litigation, to will and estate planning, juvenile an domestic relations, personal injury, dispute and settlement mediation. Representative clients include banking and financial institutions, governmental institutions, investors, developers and other real estate professionals, non-profits, churches, small businesses, and entrepreneurs.
